Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SeeUWell platform, including the SeeUWell Connect AI voice receptionist service and all related software and services ("Service") provided by SeeUWell ("we," "us," or "our"). By subscribing to or using our Service, you agree to these Terms.

Service Description

SeeUWell Connect is a 24/7 AI-powered voice receptionist and business platform for small and medium-sized service businesses. The platform includes inbound call handling, appointment booking, CRM, marketing automation, and related features as described on our website and in your subscription plan.

Subscription Terms

SeeUWell Connect is offered on monthly and annual billing cycles. Your subscription renews automatically at the end of each billing period unless you cancel before the renewal date.

HIPAA Addendum — Connect Health

Connect Health subscribers who handle Protected Health Information (PHI) on behalf of their patients execute a separate Business Associate Agreement (BAA) with SeeUWell prior to account activation. The BAA governs all PHI handling and supersedes any conflicting provision in these Terms with respect to PHI. Limitation of Liability

To the maximum extent permitted by law, SeeUWell's total liability to you for any claim arising out of or relating to these Terms or the Service is limited to the fees you paid to SeeUWell in the three (3) months immediately preceding the claim. In no event will SeeUWell be liable for indirect, incidental, special, consequential, or punitive damages, even if advised of the possibility of such damages.

Indemnification

You agree to indemnify and hold harmless SeeUWell, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to your misuse of the Service, your violation of these Terms, or your violation of any third-party rights.

Intellectual Property

SeeUWell retains all rights to the platform, software, AI models, and branding. You retain ownership of your business data, call recordings, and customer information. You grant SeeUWell a limited license to process your data solely to provide and improve the Service.

Governing Law

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-law provisions.

Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration will be conducted in Suffolk County, Massachusetts, or by videoconference. You and SeeUWell each waive the right to participate in a class action lawsuit or class-wide arbitration.

Changes to These Terms

We may update these Terms at any time. We will post the updated Terms on this page with a revised effective date and notify active subscribers by email at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
